1. AcceptanceBy accessing this website or engaging our services, you agree to these Terms.
2. ServicesData integration, reconciliation, analytics, training, and related advisory as described on the site or proposal/SOW.
3. Proposals & SOWsScope, timelines, fees, and SLAs are defined per SOW; conflicts are resolved in favour of the SOW.
4. Client ObligationsProvide timely access to data, systems, and stakeholders; ensure law-compliant data sharing and licences.
5. Fees & InvoicingAs per SOW. Taxes extra. Delays beyond 15 days may attract late fees.
6. Intellectual PropertyPre-existing IP remains each party's. Project deliverables transfer per SOW upon full payment. Reuse of generic components permitted.
7. ConfidentialityBoth parties will protect non-public information; disclosures only on a need-to-know basis or as required by law.
8. Data ProtectionWe handle personal data per our Privacy Policy and applicable Indian law (DPDP Act). Client remains data controller for its datasets.
9. No Legal/Tax AdviceOutputs support decision-making; they are not legal, audit, or tax opinions unless explicitly contracted.
10. WarrantiesServices performed with reasonable skill and care. No warranty that outputs will be error-free or fit for a particular purpose.
11. Limitation of LiabilityTo the maximum extent permitted by law, indirect or consequential damages are excluded. Direct liability capped at the fees paid in the preceding 3 months for the impacted service.
12. Third-Party ToolsUse of connectors (e.g., Power BI, gateways, email providers) is subject to their licences.
13. TerminationEither party may terminate for material breach not cured within 15 days; accrued fees remain payable.
14. Governing Law & Dispute ResolutionLaws of India; exclusive jurisdiction of courts in Maharashtra, India. Consider arbitration per the Arbitration & Conciliation Act, 1996, seated in Pune if mutually agreed in SOW.
